Please read these Conditions and Terms of Use carefully before using this Website (“Site” or “Sites”). By using this Site, you signify your agreement with these Conditions and Terms of Use. If you do not agree with any of the below Conditions and Terms of Use, do not use this site. LISTENING WITH HEART INC. (the "Provider") reserves the right, in its sole discretion, to modify, alter or otherwise update these Conditions and Terms of Use at any time and you agree to be bound by such modifications, alterations or updates.

1. Trademarks, Copyrights and Restrictions

This Site is controlled and operated by the Provider. The telephone number of the Provider is 905.631.1110. All material on this Site, including, but not limited to images, illustrations, audio clips and video clips, is protected by copyrights which are owned and controlled by the Provider or by other parties that have licensed their material to the Provider (the "Copyrights"). Material from this Site or from any other website owned, operated, licensed or controlled by the Provider (collectively the "Provider's Websites") may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way. Modification of the materials or use of the materials for any other purpose is a violation of the copyrights and other proprietary rights. For purposes of this Conditions and Terms of Use Agreement, the use of any such material on any other Website or networked computer environment is prohibited.

2. Privacy

(1) The Provider is very respectful about the privacy concerns of the visitors to its Sites on the Internet. As a general policy, no personal information is automatically collected from visitors to its Sites. However, certain non personal information of visitors is recorded by the standard operation of the Provider's servers. This information is primarily used to provide an enhanced online experience for the visitor. Information tracked includes the type of browser being used by the visitor, the type of operating system in use by the visitor and the domain name of the visitor’s Internet service provider. By having this information, web pages optimized for a particular visitor's computer is automatically available to that visitor. Other uses of this information include internal review of the number of visitors to the Provider’s Websites but only in an aggregate and non personally identifiable form. E mail addresses and other personally identifiable data about visitors to this Site are known to the Provider only when voluntarily submitted. Personally identifiable information that may be collected in connection with visitors voluntarily filling out contest entry forms or subscribing to newsletters is retained by the Provider and not sold or otherwise transferred outside the company. This information is used to better understand visitors' use of the Provider’s Websites and to support transactions made on the Sites. However, this data in an aggregate form may be provided to other parties for marketing, advertising or other uses. We sometimes also use e mail addresses and other personally identifiable information to contact visitors who communicate with us. For example, we direct e mail to visitors who provide us with their e mail addresses for specific purposes such as receiving our e mail newsletters or being notified if they have won one of our contests. Each e mail newsletter always contains instruction on how to discontinue receipt of the newsletter.
(2) Many of the Provider’s Websites, including this one, place a "cookie" in the browser files of the Provider user's computer. The cookie itself does not contain any personally identifying information. Although the cookie could enable the Provider to relate a user's use of the Provider’s Websites to information that the user has specifically and knowingly provided, the Provider does not do so for any kids' sites. Users should be aware that when they voluntarily disclose personal information (e.g., user name, e mail address, telephone number) on the bulletin boards or in the chat areas, that information can be collected and used by others and may result in unsolicited messages from other people. To the extent that any of our Sites accessible through the Provider has additional practices, these practices will be explained at that site.

3. A Special Note for Parents Concerning Privacy

On sites specifically designed for children, the Provider makes a special effort to encourage children to consult with their parents before furnishing data. However, the Provider believes that parents should supervise their children's online activities and consider using parental control tools available from online services and software manufacturers that help provide a kid friendly online environment. These tools can also prevent children from disclosing online their name, address and other personal information without parental permission.

4. Submissions

(1) Any notes, message/billboard postings, ideas, suggestions, concepts or other material submitted will become the property of the Provider throughout the universe and the Provider shall be entitled to use the material for any type of use forever including in any media whether now known or hereafter devised. When you submit material to the Provider's Websites, you agree that the Provider has the right to publish the material for any type of use as outlined above including promotional and advertising purposes.

(2) The Provider is not responsible for any material posted on our Forums. You shall not submit or otherwise publish through such Forums any content which:

(a) libels, defames, invades privacy, or is obscene, pornographic, abusive, or threatening;
(b) infringes any intellectual property or other right of any entity or person, including, but not limited to violating anyone's copyrights or trademarks;
(c) violates any law;
(d) advocates illegal activity; or
(e) advertises or otherwise solicits funds or is a solicitation for goods or services (collectively "Non Approved Material").

(3) You agree to indemnify the Provider and its officers, directors, employees, agents, distributors and affiliates from and against any and all third party claims, demands, liabilities, costs, or expenses, including reasonable lawyer's fees, resulting from your breach of any of the foregoing agreements, representations and warranties.

5. E Mail and Postings Received

Do not post any threatening or libelous e mails or material on this Site that would be considered a violation of any law. The Provider will fully co operate with any law enforcement authorities or court order requesting or directing the Provider to disclose the identity of anyone posting any such e mails or materials.

6. Jurisdictional Issues

(1) Unless otherwise specified, the materials in the Provider's Websites are presented solely for the purpose of entertainment and promoting programs, books and other products in Canada. This Site is controlled and operated by the Provider from its offices within the Province of Ontario. The Provider makes no representation that materials in the Provider's Websites are appropriate or available for use in any location whatsoever. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

(2) This agreement shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario, as it is applied to agreements entered into and to be performed entirely within such province. Any action you, any third party or the Provider bring to enforce this agreement or, in connection with, any matters related to this Site shall be brought only in the courts of the Province of Ontario, and you expressly consent to the jurisdiction of said courts. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the matters contained herein and shall not be modified except in writing, signed by the Provider.

7. Conduct

You shall not post on the Provider’s Websites any Content which (a) is libellous, defamatory, obscene, pornographic, abusive, harassing or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity, (d) otherwise violates any applicable law, or (e) distribution lists to be used via unsolicited electronic mail or other mass electronic mailings. You may not post on the Provider’s Websites any links to any external Internet sites that are obscene or pornographic. You shall not use the Provider’s Websites for any commercial purpose, to distribute any advertising or solicitation of funds or goods, services, or to solicit users to join competitive online Websites.

For further clarification, you agree to accept sole responsibility for any and all use of your account. Within the usage of your account, you are prohibited from uploading, storing, distributing, posting, sending, or displaying any unlawful, libellous, threatening, abusive, defamatory, or obscene material or message that would violate the rights of any person or constitute a criminal offence under any local, provincial, national, or international law. You are further prohibited from uploading, distributing, posting, sending, or displaying any copyrighted or proprietary material without the consent of the copyright owner, including but not limited to print material, documents, logos or trademarks, patents, financial information, and software. You are expressly prohibited from displaying, posting, distributing, or linking Websites to "adult" oriented material, pictures, or writings.

Any online transactions are solely between you and the seller of the merchandise or services. We accept no responsibility whatsoever for any of the transaction terms or methods, including but not limited to purchase terms, payment terms, warranties, guarantees, maintenance, and delivery.

Violating or attempting to violate our system or network security is strictly prohibited, and those undertaking such activity will be prosecuted under criminal and civil liability laws. We will monitor systems and will investigate incidents involving such security violations, and will involve local, provincial or federal law enforcement if a criminal violation is suspected. Examples of system or network security violations include, but are not limited to:
(a) unauthorized access to or use of information, systems, or networks, including attempting to test the vulnerability of a system or network or to break or bypass security, password or authentication measures, unless you have obtained prior permission from the owner of the system or network.
(b) unauthorized viewing or monitoring of data or traffic on any network or system without prior permission from the owner of the network or system.
(c) interference with system or network service in any part and in any way, including mailbombing, flooding, deliberate attempts to overload a system and broadcast attacks.
(d) forging identifying information on any type of transmitted data, including any TCP-IP packet header, any part of an e-mail header, or a newsgroup posting header.

8. Membership

As a member, you agree to accept sole responsibility for any and all use of your account (“Membership”). Examples of Membership violations include, but are not limited to:

(1) User hereby agrees that any material submitted for publication on the Provider's servers through user's account(s) does not violate or infringe any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain anything obscene or libellous. Software intended to facilitate any such violations or infringements may not be stored on the Provider's servers.

(2) The Provider, at its sole business judgment, may terminate the membership Agreement immediately or suspend User's access to the service upon any breach of this membership Agreement by User, including, but not limited to, refusal or failure to pay for services provided or by sole judgment of the Provider that User may be performing activities harmful to the Provider or its Users, employees, vendors, business relationships or any other users of the Internet.

(3) The following violations of "netiquette" are grounds for immediate suspension of service pending investigation by the Provider and will result in termination of the account(s) the investigation determines to have originated or transmitted these types of traffic:

(a) posting a single article or substantially similar articles to an excessive number of newsgroups (i.e., 5 or more) or continued posting of articles which are off-topic (e.g., off-topic according to the newsgroup charter or the article provokes complaints from the regular readers of the newsgroup for being off-topic).
(b) sending unsolicited mass e-mailings (i.e., to more than 10 users) which provoke complaints from the recipients.
(c) engaging in either (a) or (b) from a provider other than the Provider and using an account on the Provider as a mail drop for responses.
(d) continued harassment of other individuals on the Internet after being asked to stop by those individuals and by the Provider.
(e) impersonating another user or otherwise falsifying one's user name in e-mail, Usenet postings, on IRC, or with any other Internet service. (This does not preclude the use of nicknames in IRC or the use of anonymous remailer services.)
(f) use of IRC "bots" on the Provider, whether on our IRC server or any other. Such software may not be stored on the Provider's servers.

(4) Users whose accounts are terminated for any of the above infractions are also responsible for the cost of labour to cleanup and respond to complaints incurred by the Provider.

(5) You may not allow others to use, your subscription, user name, password or the Service, directly or indirectly, nor upload, distribute, transmit, communicate, link to, publish or access any material or information through, using or otherwise in connection with the Membership.

(6) You are solely responsible and liable for any such activity or conduct. We have no liability and you bear the sole and exclusive risk associated with use of or reliance on the accuracy, completeness, currentness or usefulness of any Material in connection with your subscription, user name or password. Although we do not pre-screen, we reserve the unconditional right to remove Material we consider harmful, offensive, in violation of law, regulation or any agreement.

9. Disclaimers

(1) The materials in the Provider's Websites are provided "as is" and without warranties of any kind either expressed or implied. To the fullest extent permissible pursuant to applicable law, the Provider disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. The Provider does not warrant that the functions contained in the materials will be uninterrupted or error free, that defects will be corrected, or that the Provider's Websites or the server that makes them available are free of viruses or other harmful components. The Provider does not warrant or make any representations regarding the use or the results of the use of the materials in the Provider's Websites in terms of their correctness, accuracy, reliability or otherwise. You (and not The Provider) assume the entire cost of all necessary servicing, repair or correction. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you. The material that you read in the Provider's Websites is provided solely for entertainment and promotional purposes. The information and opinions expressed in Bulletin Boards, Chat Rooms or other forums conducted on this Site ("Forums") are not necessarily those of the Provider or its affiliated or related entities or content providers and the Provider makes no representations or warranties regarding that information or those opinions. Furthermore, neither the Provider nor its affiliated or related entities or its content providers are responsible or liable to any person or entity whatsoever (including, without limitation, persons who may use or rely on such data/materials or to whom such data/materials may be furnished) for any loss, damage (whether actual, consequential, punitive or otherwise), injury, claim, liability or other cause of any kind or character whatsoever based on or resulting from any information or opinions provided in the Provider's Websites.

(2) Any product, process or technology published on the Provider’s Websites may be the subject of Intellectual Property rights reserved by the Provider, its subsidiaries or licensors, and are not licensed under this agreement. Any software programs and any corrections, updates or new versions of any software programs that may be made available by the Provider through the Provider’s Websites are provided subject to the additional terms, conditions and restrictions indicated in the applicable section of the Sites.

(3) If no additional terms are provided on such Sites, any software programs or software code is governed by this provision.

(4) All information provided via the Provider’s Websites, including, without limitation, any provider or its subsidiaries’ product or service plans, software programs, software code, offerings or programs, statements of future directions, “white papers” or other technical or marketing materials (collectively “Information”) is intended for informational purposes only and is subject to change or withdrawal by the Provider at any time without notice. The Provider assumes no responsibility for the accuracy or completeness of the Information. THE INFORMATION IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, INCLUDING (WITHOUT LIMITATION) ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THE PROVIDER FURTHER DISCLAIMS ANY LIABILITY IN CONNECTION WITH THE PROVIDER’S WEBSITES OR THE INFORMATION PROVIDED HEREIN. 10. Restricted Rights Legend

(1) The Information is provided with RESTRICTED RIGHTS. The Provider’s logo and the Provider brand and product names referenced herein are either registered trademarks or trademarks of the Provider. All other brand and product names mentioned herein are trademarks of their respective owners.

(2) Unless expressly provided otherwise by the Provider, all comments, feedback, information or materials submitted to the Provider through or in association with the Provider’s Websites shall be considered non-confidential and the Provider’s property. By submitting such comments, feedback, information or materials to the Provider, you agree to a no-charge assignment to the Provider of all worldwide rights, title and interest in copyrights and other intellectual property rights to the comments, feedback, information or materials. The Provider shall be free to use, copy or distribute such comments, feedback, information or materials on an unrestricted basis without accounting to you.

11. No Warranties

ALL CONTENT, PRODUCTS, AND SERVICES ON THE PROVIDER’S WEBSITES, OR OBTAINED FROM A WEBSITE TO WHICH THE SITE IS LINKED (A "LINKED SITE") ARE PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY OR ACCURACY. LISTENING WITH HEART INC. DOES NOT ENDORSE AND IS NOT RESPONSIBLE FOR (A) THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE OR STATEMENT MADE THROUGH THE PROVIDER’S WEBSITE OR A LINKED SITE BY ANY PARTY OTHER THAN LISTENING WITH HEART INC., OR (B) THE CAPABILITIES OR RELIABILITY OF ANY PRODUCT OR SERVICE OBTAINED FROM A LINKED SITE. SPECIFICALLY DISCLAIMS ANY LIABILITY FOR SUCH INACCURACIES OR ERRORS. CHANGES ARE PERIODICALLY MADE TO THE INFORMATION ON THE PROVIDER’S WEBSITES AND LINKED SITES. LISTENING WITH HEART INC. MAY MAKE IMPROVEMENTS OR CHANGES TO THE PROVIDER’S WEBSITES AT ANY TIME. YOU AGREE THAT LISTENING WITH HEART INC., ITS AFFILIATES AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, COST OF PROCURING SUBSTITUTE SERVICE OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PROVIDER’S WEBSITES OR A LINKED SITE, OR WITH THE DELAY OR INABILITY TO USE THE PROVIDER’S WEBSITES OR A LINKED SITE, EVEN IF LISTENING WITH HEART INC. IS MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION ON LIABILITY INCLUDES, BUT IS NOT LIMITED TO, THE TRANSMISSION OF ANY VIRUSES WHICH MAY INFECT A USER'S EQUIPMENT, FAILURE OF MECHANICAL OR ELECTRONIC EQUIPMENT OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS (e.g., YOU CANNOT ACCESS YOUR INTERNET SERVICE PROVIDER), UNAUTHORIZED ACCESS, THEFT, OPERATOR ERRORS, STRIKES OR OTHER LABOUR PROBLEMS OR ANY FORCE MAJEURE. LISTENING WITH HEART INC. CANNOT AND DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO THE PROVIDER’S WEBSITES OR ANY LINKED WEBSITE.

13. Limitation of Liability for Services Arranged Through the Provider’s Websites

YOU AGREE THAT LISTENING WITH HEART INC. IS A MERE AGENT FOR THE PROVIDERS OF SERVICES AVAILABLE THROUGH THE PROVIDER’S WEBSITES, INCLUDING BUT NOT LIMITED TO FORUM SERVICES. ANY AND ALL CLAIMS REGARDING ANY FAILURE OR BREACH WITH RESPECT TO THE SERVICES OFFERED THROUGH THE PROVIDER’S WEBSITES ARE LIMITED TO CLAIMS AGAINST ANY AND ALL SERVICE PROVIDERS. LISTENING WITH HEART INC. HEREBY DISCLAIMS ANY LIABILITY, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, IN CONNECTION WITH THE GOODS OR SERVICES PROVIDED BY ANY CARRIER OR OTHER SUPPLIER THROUGH THE PROVIDER’S WEBSITES, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY ACT, ERROR, OMISSION, INJURY, LOSS, ACCIDENT, DELAY OR IRREGULARITY WHICH MAY BE INCURRED THROUGH THE FAULT, NEGLIGENT OR OTHERWISE, OF SUCH CARRIER OR SUPPLIER AND YOU HEREBY EXONERATE LISTENING WITH HEART INC. FROM ANY LIABILITY WITH RESPECT TO THE SAME.

14. Confidentiality of User Communications

Except as required by law and in accordance with the Listening with Heart Inc. Internet Privacy Statement. Listening with Heart Inc. will maintain the confidentiality of all user communications which contain personal user information and which are transmitted directly to Listening with Heart Inc. Postings by a user on any message board or in any chat room will not be protected as confidential and Listening with Heart Inc. may use and provide information contained in any such postings (including any ideas, concepts, know-how or other intellectual property) to any of its parent Inc., subsidiaries and affiliates for any purpose whatsoever and as deemed appropriate by Listening with Heart Inc. User should be aware that Linked Sites may contain confidentiality provisions that differ from the provisions provided herein. Listening with Heart Inc. is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

15. Linked Internet Sites

Listening with Heart Inc. prohibits caching, unauthorized hypertext links to the Provider’s Websites and the framing of any Content available through the Site. Listening with Heart Inc. reserves the right to disable any unauthorized links or frames and specifically disclaims any responsibility for the Content available on any other Internet sites linked to the Site. Access to any other Internet sites linked to the Site is at the user's own risk. User should be aware that Linked Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the Provider’s Websites. Listening with Heart Inc. is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

16. Postings

Listening with Heart Inc. is under no obligation to review any messages, information or content ("Postings") posted on the Provider’s Websites by users and assumes no responsibility or liability relating to any such Postings. Notwithstanding the above, Listening with Heart Inc. may from time to time monitor the Postings on the Provider’s Websites and may decline to accept and/or remove any Postings that contain:

(1) Any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically or otherwise objectionable material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any applicable local, state, national or international law.

(2) Advertisements or solicitations of any kind.

(3) Messages posted by users impersonating others.

(4) Personal information such as messages which state phone numbers, social security numbers, account numbers, addresses, or employer references.

(5) Messages by non-spokesperson employees of Listening with Heart Inc. purporting to speak on behalf of Listening with Heart Inc. or containing confidential information or expressing opinions concerning Listening with Heart Inc.

(6) Messages that offer unauthorized downloads of any copyrighted or private information.

(7) Multiple messages placed within individual folders by the same user restating the same point.

17. Transmission of Personal Data

User acknowledges and agrees that by providing Listening with Heart Inc. with any personal or proprietary user information through the Provider’s Websites, user consents to the transmission of such personal or proprietary user information over international borders as necessary for processing in accordance with Listening with Heart Inc.’s standard business practices. User should be aware that Linked Sites may contain transmission of personal data provisions that differ from the provisions provided herein. Listening with Heart Inc. is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

18. Changes to Rules and Regulations
